Membership Agreement

Holistically Simple PMA (A Private Membership Association)

Welcome to Holistically Simple PMA. This Membership Agreement governs your participation in our Private Membership Association (PMA) — established martial arts, fitness and wellness operators united by proven, non-traditional programs, curriculum and software, and a commitment to running them under their own brand.

By joining the PMA, you agree to the terms, conditions, rights, and responsibilities outlined in this contract and the accompanying Articles of Association.

Preamble

Holistically Simple PMA is a Private Membership Association designed to build strong, collaborative business communities grounded in strategic thinking, mutual support, operational excellence, and respect for the law. We promote sustainable business growth, financial wellness, and strategic innovation.

Benefits of Membership

Access to all information, tools, and services available through the PMA, including:

  • Strategic Operating Platform: Unified CRM, marketing automation, website builder, AI-powered tools, and business management systems
  • SCALE Framework: Proven 5-pillar methodology — Systemize, Curriculum, Automate, Leverage, Elevate — that we consult and the software runs
  • Programs & Curriculum: Licensed, non-traditional programs with rank, grading and progression, run under your own brand
  • Operator Network: Connection to other licensed operators running the same proven system, plus consulting access to the founders
  • Live Training & Workshops: Weekly sessions, expert guest speakers, and member-led masterminds
  • Implementation Support: Tier-based access to strategic consultation, technical support, and accountability systems

Foundation of This Association

Our establishment of this PMA is rooted in the recognition of your inherent business intelligence and autonomy. We acknowledge the appropriateness of diverse approaches to business growth and operations while strictly adhering to professional standards and legal compliance.

Every member joins the PMA as an independent business owner operating in their professional capacity, with full autonomy over their business decisions and equal standing with all other members.

Important Notice

Please read this agreement carefully and completely. Ensure you fully understand and agree with all terms and conditions before accepting membership.

If you do not agree with the terms of this PMA contract, you will not be authorized to access the platform, participate in the community, or engage with any PMA members or services.

By completing your membership registration and payment, you acknowledge that you have read, understood, and agree to be bound by this Membership Agreement, our Terms of Service, and our Privacy Policy.

Articles of Association

Article I. Creation

The PMA was originally created on January 1, 2023, and is effective as of the date set forth below, retroactive to January 1, 2023.

Article II. Intent and Purpose

2.1 Intent

The intent of the PMA is to lawfully provide all members with access to strategic frameworks, business infrastructure, community networks, and educational resources to support independent business growth and operational excellence.

2.2 Purpose

The purpose of this PMA is to build strong, collaborative business communities grounded in:

  • Strategic thinking and data-driven decision-making
  • Operational efficiency and systems thinking
  • Sustainable business growth without burnout
  • Mutual support, knowledge sharing, and peer accountability
  • Respect for ethical business practices and legal compliance

2.3 Services Provided

The PMA operates in the private sector to:

  • Provide unified business management software and automation tools
  • Deliver strategic frameworks and implementation methodologies
  • Facilitate peer networking, collaboration, and knowledge exchange
  • Offer educational materials, training, and expert consultation
  • Create private spaces for members to operate and grow their businesses

Article IV. Venue and Situs

4.1 Proper Venue

Proper venue for the PMA is in Virginia Beach, Virginia, United States of America.

Article V. Assertion of Rights by Members

5.1 Fundamental Rights

All PMA members agree and consent to assert, stand upon, and enforce all applicable fundamental rights as independent business owners and free individuals, including:

  • Freedom of association and private contract
  • Freedom of expression and speech in business communications
  • Right to privacy in business operations and member interactions
  • Right to pursue business activities and economic opportunity
  • Right to control matters concerning their own business, operations, and property

5.2 Constitutional Protections

All PMA members assert rights protected under the Constitution of the United States, including but not limited to First Amendment (freedom of association, speech, press), Fourth Amendment (privacy, unreasonable searches), Fifth Amendment (due process), Ninth Amendment (unenumerated rights), and Tenth Amendment (reserved powers).

5.3 Business Autonomy

All PMA members acknowledge their absolute freedom of choice in matters of business strategy, operational decisions, technology selection, and their own business welfare at all times while dealing privately with other PMA members.

Article VI. Jurisdiction

All members consent to lawful governance according to the principles of law as protected by the Constitution of the United States, the Constitution of Virginia, and laws made in pursuance thereof that do not impair, impede, obstruct, or defeat any constitutionally secured right of any member.

Article VII. Waiver of Regulatory Protections

7.1 Private Association Operations

All PMA members acknowledge that they are operating within a private association and do not call upon, depend on, rely upon, or request from any governmental authority any permission or approval to discuss business strategy, operational frameworks, or technology implementations with other members.

7.2 Due Diligence Responsibility

Each PMA member consents to exercise due care and conduct due diligence regarding any business advice, strategic frameworks, or technology recommendations discussed with or suggested by any other member before implementing such recommendations in their own business.

7.3 Release of Governmental Liability

All PMA members specifically release and hold harmless from any and all liability any governmental authorities for any act or omission made by the PMA or by one PMA member to another member, except when creating a clear and present danger of substantive harm.

7.4 Internal Dispute Resolution

Members agree to first utilize internal PMA arbitration procedures for any disputes arising within the association. A panel of five members (two selected by each party, one by the PMA) shall hear any grievance before seeking external remedies.

7.5 External Arbitration

If internal arbitration is unsuccessful, all parties agree to seek binding arbitration from the American Arbitration Association or another recognized arbitration body before pursuing litigation.

Article VIII. Type of Association

8.1 Private Association

The PMA is a private, voluntary association of independent business owners associating together pursuant to the intent, purpose, and principles set forth in this contract.

8.2 Not a Public Entity

The PMA is NOT a public entity, corporation, limited liability company, partnership, or any form of statutory entity created by or under governmental authority.

Article IX. Membership

9.1 Access Through Membership

The PMA publicly offers membership to qualified business owners. Only PMA members are granted access to the platform, resources, community, and all services available through the association.

9.2 Member Benefits

Every PMA member is entitled to:

  • Unlimited access to the members-only platform and all software features
  • Full access to the PMA's resource library, research data, and educational materials
  • Participation in the global member community and networking opportunities
  • Advice and counsel from other PMA members on business strategy and operations
  • Ability to publish case studies, insights, and successes within the community

9.3 Peer-to-Peer Services

PMA members may privately offer paid services to other members (e.g., consulting, implementation support, specialized expertise) outside the scope of standard membership benefits.

9.4 Eligibility

The PMA is open to:

  • Independent business owners of lawful age (18+) who are competent to enter binding contracts
  • Individuals operating or building legitimate businesses earning $5,000+ monthly revenue (or committed to reaching this milestone)
  • Business owners committed to ethical practices, legal compliance, and community values

9.5 Membership Restrictions

Membership is NOT available to any person acting in an investigative, regulatory, or law enforcement capacity for any governmental or quasi-governmental agency, licensing board, or authority—unless such person agrees to uphold the privacy of the PMA and all members at all times and acknowledges that this contract takes precedence over their official position.

9.6 Equal Standing

All PMA members are equal. There is no hierarchical "vendor-client" or "service provider-customer" relationship among members in the traditional sense. Members waive protections typically offered to public consumers by governmental authorities when engaging with other members.

9.7 Limited Liability

No PMA member accepts liability for acts or omissions committed by the PMA itself or by any other PMA member, except as explicitly agreed in separate written contracts.

9.8 No Ownership Interest

Membership does not convey any ownership interest, equity, or title in the PMA or its assets unless specifically documented through separate contribution agreements.

Article X. Consideration and Membership Fees

10.1 Platforms & Fees

The PMA offers two lines, both priced as published on our Pricing page. Three software platforms ("Run It"):

  • AcadevoFit (Studio): $497 one-time (lifetime) or $149/month
  • Acadevo Martial Arts Pro (Academy): from $97/location/month (Pro $197)
  • Power Portal (Clinic): Enterprise license (HIPAA-compliant)

And four consulting partnership levels ("Scale It"), billed monthly:

  • PMA Membership: $97/month (DIY)
  • Foundation Operator: $497/month (full platform)
  • Accelerator Cohort: $1,297/month (done-with-you; application required)
  • Inner Circle: $3,497/month (done-for-you; application & interview required)

10.2 Value Acknowledgment

All members acknowledge that the benefits, resources, and services provided by the PMA are worth far in excess of the membership fees paid.

10.3 Fee Modifications

Membership fees may be modified by the Directors with 30 days' advance notice to active members. Current members will be grandfathered at their existing rate for a minimum of 6 months after any price increase.

Article XI. Operation and Governance

11.1 Directorship

The PMA operates under the governance of Directors. Edward Armstrong serves as the founding Director and initial Spokesman for the PMA.

11.2 Director Responsibilities

Directors may be appointed, elected, or hired by the founding Director or by majority vote of members. Directors are responsible for:

  • Strategic direction and operational management of the PMA
  • Maintaining platform infrastructure and member services
  • Handling financial management, tax compliance, and regulatory matters
  • Protecting member privacy and association integrity

11.3 Records Privacy

All records maintained by the PMA—especially regarding any member's business operations, financial data, or strategic information—are and shall remain the private property of the individual member, protected by constitutional privacy rights, regardless of where such records are stored or who maintains custody.

11.4 Operational Rules

The PMA may develop operational rules and policies as needed, which may be amended by Directors or through majority vote of members at annual meetings.

Article XII. Financial Operations

12.1 Banking and Currency

The PMA may maintain bank accounts and accept payments in U.S. currency (Federal Reserve Notes) for operational purposes, membership fees, and service payments.

12.2 Financial Accountability

Directors are responsible for maintaining financial accounts, paying operational expenses, and ensuring tax compliance for the PMA.

12.3 Tax Compliance

Directors shall review and timely pay or legally dispute any tax assessment levied upon the PMA by governmental authorities.

Article XIII. Dissolution

13.1 Termination Conditions

The PMA will terminate upon:

  • Death or resignation of all Directors
  • Loss of the last remaining member
  • Unanimous vote of all Directors and members to dissolve

13.2 Asset Distribution

Upon voluntary termination, PMA assets shall be distributed proportionally among members who contributed funds for their acquisition. Remaining assets become the property of Edward Armstrong (if living and competent) or his estate, heirs, or assigns.

Article XIV. Force Majeure

Members hold harmless the PMA and all officials from liability arising from acts of God, events beyond reasonable control, or circumstances constituting force majeure (natural disasters, pandemics, war, government actions, etc.).

Article XV. Construction and Interpretation

All terms in this document shall be interpreted according to their plain meaning in conversational English as used in 2023-2025. No legal jargon, terms of art, or specialized definitions shall be imposed to alter the original intent of this contract.

Article XVI. Severability

If any provision of this contract is found unlawful or unenforceable, that provision shall be severed, and all remaining provisions shall remain in full force and effect.

Article XVII. Governing Law

This contract is governed by the Constitution of the United States, the Constitution of Virginia, and laws made in pursuance thereof. Disputes shall be resolved according to constitutional principles and common law.

Article XVIII. Entire Agreement

This Membership Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Holistically Simple PMA. No oral promises or representations shall have binding legal effect.

Article XIX. Private Association Status

Final Declaration: The administration of this contract and the PMA hereby created is private and generally beyond the scope of regulatory authority. This association is protected by constitutional rights of association, privacy, contract, and free speech.

Membership is confirmed upon receipt of payment for any PMA membership tier and acceptance of this agreement.

Member Acceptance

By completing your membership registration, providing payment information, and clicking "I Agree" or "Join Now," you acknowledge that you have:

  • Read this entire Membership Agreement carefully and completely
  • Understood all terms, conditions, rights, and responsibilities outlined herein
  • Agreed to be bound by this agreement, the Terms of Service, and the Privacy Policy
  • Acknowledged your status as an independent business owner operating within a private association
  • Accepted responsibility for conducting due diligence on all business advice or recommendations received from other members

Effective Date: This agreement becomes effective on the date of your membership registration and payment.
